Please read these Terms of Service carefully before using Should-I's platform, website, or reports. By accessing or using our services, you agree to be bound by these terms.
1. About Should-I
Should-I Inc. ("Should-I", "we", "us", or "our") is an Australian business that provides location-based market intelligence and business diagnostics reports. We help small business owners and entrepreneurs evaluate structural factors such as local demand, competition, catchment viability, and demographic suitability before making significant business commitments.
Our services are provided through our website (should-i.ai), our report platform, and related communications.
2. Acceptance of Terms
By accessing our website, requesting a report, or purchasing any product or service from Should-I, you confirm that:
- You are at least 18 years of age;
- You have the legal capacity to enter into a binding agreement;
- You are using our services for lawful purposes; and
- You have read and agree to these Terms of Service in full.
If you do not agree to these terms, you must not use our services.
3. Our Services
3.1 Free Reports
We may offer a free introductory report as a lead generation tool. Free reports are provided for general information purposes only and may contain limited data compared to our paid reports. Free reports do not constitute professional advice of any kind.
3.2 Paid Reports
Paid reports provide detailed location-based market intelligence including, but not limited to: demographic analysis, competitor mapping, catchment area analysis, customer persona modelling, and market demand scoring. Paid report pricing is as set out on our pricing page and is subject to change.
3.3 Report Accuracy and Limitations
Our reports draw on third-party data sources including Google Places API, Australian Bureau of Statistics (ABS) Census data, Mapbox, and other publicly available datasets. While we take reasonable care in compiling reports, we make no guarantee as to the accuracy, completeness, currency, or fitness for purpose of any data sourced from third parties.
Data availability varies by location and industry. In some areas or for some business types, data may be limited or unavailable. Should-I will not be liable for any inaccuracies arising from third-party data sources.
4. Not Professional or Financial Advice
Important: Should-I reports are market intelligence tools only. They are designed to help you understand structural factors in a given location. They are not:
- Financial advice or investment advice;
- Business advice, legal advice, or accounting advice;
- A guarantee of business success, viability, or profitability;
- A substitute for professional due diligence; or
- A recommendation to proceed with or abandon any business venture.
You should seek independent professional advice (including from a qualified accountant, financial adviser, or business consultant) before making any significant business or financial decision. Should-I expressly disclaims all liability for decisions made in reliance on our reports.
5. Payments and Refunds
5.1 Payment Processing
Payments for paid reports are processed by Stripe, a third-party payment processor. By making a payment, you also agree to Stripe's terms of service and privacy policy. Should-I does not store your credit card details.
5.2 Pricing
All prices are listed in Australian Dollars (AUD) and include GST where applicable, unless stated otherwise. Should-I reserves the right to change pricing at any time. Any price changes will not affect orders already placed and paid.
5.3 Refunds
Because our reports are digital products delivered immediately upon generation, we do not offer refunds once a report has been generated and delivered. If you experience a technical issue that prevents delivery of your report, please contact us at hello@should-i.ai and we will work to resolve the issue or provide a replacement report.
Refunds may be considered at Should-I's sole discretion in exceptional circumstances, including where a report cannot be generated due to data unavailability in your selected location.
5.4 Promotional Codes and Access Codes
Promotional codes and access codes may be issued at Should-I's discretion. Codes are non-transferable, have no cash value, and may be subject to additional terms communicated at the time of issue.
6. Intellectual Property
6.1 Our Content
All content on the Should-I website, platform, and within reports — including but not limited to text, graphics, design, scoring methodologies, persona models, and visual presentation — is owned by or licensed to Should-I Inc. and is protected by Australian and international intellectual property laws.
6.2 Your Licence to Use Reports
When you purchase a paid report, Should-I grants you a limited, non-exclusive, non-transferable licence to use the report for your own personal or internal business purposes. You may not:
- Reproduce, distribute, or resell any report or portion thereof;
- Share report content publicly without attribution to Should-I;
- Use report content to build a competing product or service; or
- Remove or alter any Should-I branding or attribution.
6.3 Your Content
By submitting information to Should-I (such as your business name, location, or industry), you grant us a limited licence to use that information for the purpose of generating and delivering your report.
7. Privacy
Your privacy is important to us. Our Privacy Policy explains how we collect, use, store, and protect your personal information. By using our services, you consent to our data practices as described in the Privacy Policy.
8. Limitation of Liability
To the maximum extent permitted by Australian law, Should-I Inc. and its directors, employees, contractors, and agents will not be liable for:
- Any indirect, incidental, special, or consequential loss or damage;
- Any loss of profit, revenue, business opportunity, or data;
- Any loss arising from reliance on report content;
- Any business failure, financial loss, or poor business outcomes;
- Any technical errors, delays, or failure of third-party data sources.
Where liability cannot be excluded under the Australian Consumer Law or other applicable legislation, our liability is limited to the resupply of the relevant service or a refund of the amount you paid for the relevant report, at Should-I's election.
9. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any rights or guarantees you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable Australian legislation that cannot be lawfully excluded. Our products and services come with guarantees that cannot be excluded under the Australian Consumer Law.
10. User Conduct
You agree not to use our website or services to:
- Violate any applicable law or regulation;
- Transmit any harmful, offensive, or unlawful content;
- Attempt to gain unauthorised access to our systems or data;
- Interfere with or disrupt the operation of our platform; or
- Engage in any fraudulent or deceptive conduct.
Should-I reserves the right to suspend or terminate access to any user who breaches these terms.
11. Third-Party Links and Services
Our website and reports may contain references or links to third-party websites, services, or data providers. Should-I is not responsible for the content, accuracy, or privacy practices of any third-party service. Inclusion of a third-party reference does not imply endorsement.
12. Changes to These Terms
Should-I may update these Terms of Service from time to time. We will update the 'Last updated' date at the top of this page when changes are made. Your continued use of our services following any changes constitutes acceptance of the revised terms.
13. Governing Law
These Terms of Service are governed by the laws of the State of Victoria, Australia. Any disputes arising under or in connection with these terms will be subject to the exclusive jurisdiction of the courts of Victoria.
